Tax-based Finance

Monetization of tax losses for Canadian companies seeking to generate value from an otherwise underperforming asset (tax attributes). One of our advisers designed and implemented the sale and leaseback transaction that was the subject of a favourable tax decision by the Supreme Court of Canada. The case, Canada Trustco Mortgage Co. v. Canada, continues to be the leading precedent in Canada on the general anti-avoidance test (GAAR), a weapon that is often used by the Canada Revenue Agency in challenging novel tax planning structures. Reducing GAAR risk to an acceptable level is one of our specialties.
